Exhibit A to the SaaS Subscription Agreement
Journey Works, Inc.
This Platform Capabilities Exhibit (“Exhibit”) is attached to and forms part of the SaaS Subscription Agreement (the “Agreement”) between Journey Works, Inc. (“Provider”) and the Client identified in the applicable Order Form. This Exhibit describes the Platform’s architecture, capabilities, and operational coverage.
The Platform operates on a three-layer architecture with distinct ownership at each layer:
The Strategic AI Management System, including all orchestration, security, compliance, rights management, validation, API management, and agent deployment infrastructure, constitutes Provider Technology and is owned exclusively by Provider.
| Component | Description |
|---|---|
| Orchestration Engine | Multi-agent coordination, task routing, context management, and workflow execution across all operational departments. |
| Knowledge Base | Centralized knowledge system that ingests documents, contracts, board records, partner history, and brand standards. Automatically audits for duplicates, inconsistencies, and curation gaps; flags content approaching expiration for review. |
| Commitments Tracker | Reads communication across Gmail, Outlook, Slack, Teams, and recorded calls. Extracts commitments (what you owe, what is owed to you, and by when), monitors follow-through, and surfaces a ranked to-do list with delegation in a click. |
| Ask (AI Assistant) | Role-scoped conversational assistant grounded in the Client’s own systems, not the open internet. Each person sees only what their role and permissions allow. Every answer cites its sources and can take the next step: draft a reply, assemble a board report, file a co-op form, or chase a follow-up. Accessible in-product, via Claude, ChatGPT, or Copilot. |
| Security and Compliance | Authentication, role-based access controls, encryption (TLS 1.2+ in transit, AES-256 at rest), audit logging, and SOC 2-aligned infrastructure. |
| Rights Management | Content ownership tracking, intellectual property separation between Provider and Client layers, and data portability controls. |
| Validation Framework | Output quality checks, brand voice compliance, and human-in-the-loop review workflows. A person on the Client’s team approves every output before it ships. |
| API Management | Secure routing to AI model sub-processors (OpenAI, Anthropic, Google/Gemini), rate limiting, token management, and provider redundancy. |
| Agent Deployment | Agent provisioning, configuration management, version control, and rollback capabilities. |
51 pre-configured AI-powered agents across 11 departments, made available under the Order Form, constitute Provider Technology in their default configurations. Any customizations made by Client to Agent configurations are Client Configuration Data. Agents marked Premium require additional data integrations or are available on select plans.
All Client Data and Client Configuration Data, including without limitation custom prompts and instructions, brand voice configurations, partner databases, event data, visitor profiles, custom workflows, integration configurations, and bespoke Agent configurations, are owned exclusively by Client. Client’s Layer 3 intellectual property is fully portable and shall be made available for export in accordance with the Agreement upon expiration or termination.
| Data Category | Description |
|---|---|
| Client Data | All content, records, and information uploaded to or generated within the Platform by Client, including documents, analytics, reports, and AI-generated outputs. |
| Client Configuration Data | Custom prompts, agent instructions, brand voice settings, workflow definitions, integration mappings, and all other customizations made by Client. |
| Integration Data | Data sourced from Client’s connected third-party systems (CRMs, analytics platforms, social media accounts, Google Workspace, Microsoft, Box) processed within the Platform. |
The following is the complete catalog of agents available on the Platform, organized by department. Each agent arrives built, connected to Client’s systems, tuned to Client’s standards, and tested against Client’s data.

Every agent is delivered fully operational with no development, prompt engineering, or maintenance burden on Client’s side.
| Phase | Description |
|---|---|
| Built | Every agent arrives working: connected to Client’s systems, tuned to Client’s standards, tested against Client’s data. |
| Managed | Provider keeps the system running and monitors for drift. When something drifts, Provider fixes it before Client notices. |
| Upgraded | Models and platforms change monthly. Client’s system absorbs those changes without a project on Client’s calendar. |
| Taught | Provider trains Client’s team in their own roles and stays with them until use is habitual. |
The Platform integrates with Client’s existing technology stack wherever data lives:
| Integration Type | Description |
|---|---|
| Google Workspace | Gmail (read and send), Google Calendar (read), and Google Drive (read) via OAuth, subject to the Google API Services User Data Policy and Limited Use requirements as described in the Privacy Policy. |
| Microsoft | Outlook, Teams, and Microsoft 365 integration for email, calendar, and communication data. |
| Box | Document and file storage integration for knowledge base ingestion. |
| Destination Intelligence Partners | Integration with tourism data providers for visitor analytics, lodging data, and market research. |

| EOS/Scorecard | Scheduled sync with connected spreadsheets for scorecard metrics, rocks, and to-dos. |
| ETL Pipelines | Automated data synchronization between external databases and the Platform via Airbyte. |
The Platform routes requests to multiple AI model providers to ensure reliability and optimize performance. All AI model sub-processors are engaged under API terms that prohibit the use of Client Data for model training. A complete list of sub-processors is maintained in Exhibit A of the Data Processing Addendum.
| Provider | Use | Training Opt-Out |
|---|---|---|
| OpenAI | AI model inference for Agent functionality | Yes, API data not used for training |
| Anthropic | AI model inference for Agent functionality, including email classification and commitment extraction for connected Google accounts | Yes, API data not used for training |
| Google (Gemini) | AI model inference for Agent functionality | Yes, paid API data not used for training |
Provider maintains redundancy across multiple AI providers where feasible and routes requests to alternative providers during outages where available, as described in the Service Level Agreement.
The Platform is also accessible through Client’s preferred AI interface: built-in Ask, Claude, ChatGPT, or Copilot. In a web browser, on a phone, or inside the model Client’s team already prefers.
Platform security measures are detailed in the Data Processing Addendum (Section 4). Key controls include:
Platform availability, support response times, and service credits are governed by the Service Level Agreement (Schedule B). Key commitments:
Upon expiration or termination of the Agreement, Client may export all Layer 3 data (Client Data and Client Configuration Data) in commercially reasonable formats during the Data Retrieval Period specified in the Agreement. The knowledge base Provider builds and runs for Client is Client’s property. Client’s documents, answers, and history remain in Client’s systems and accounts, and they leave with Client if Client ever terminates the service. Client owns its data, always.
Provider may update this Exhibit from time to time to reflect new capabilities, Agents, or integrations. Material changes that diminish existing functionality available under an active Order Form require Client’s written consent, as specified in the Service Level Agreement (Section 8).
